Terms of Service

Welcome to HyperResilience.com ("HyperResilience™", "we", "our", or "us"). These Terms of Service ("Terms") govern your use of our platform and services. By accessing or using HyperResilience, you agree to be bound by these Terms.
HyperResilience is a digital platform powered by Infoallianz IT Solutions Private Limited, a company incorporated in India.
1. Overview
HyperResilience is a curated platform designed to connect organizations ("Clients") with highly qualified professionals and organizations ("Resilience Partners") for business continuity, disaster recovery, security and resilience-based project needs. We operate as a matchmaking platform and project facilitator.
2. Matching & Payment Model
HyperResilience matches Clients with Resilience Partners based on specific project requirements. Depending on the engagement structure, payments from Clients may be made to HyperResilience, which then disburses funds to Resilience Partners after deducting applicable fees. In other cases, HyperResilience may act as a facilitator or intermediary for payments.
HyperResilience supports multiple engagement models, including milestone-based, scoped, or subscription-based structures, depending on the needs of the project and mutual agreement between the Client and Resilience Partner.
We may act as a third-party processor or facilitator in the payment flow but are not an escrow service. Payment timelines, deliverables, and responsibilities are documented prior to the start of each engagement.
Resilience Partners are expected to fulfil all engagements they accept. If a Partner becomes unavailable mid-project, HyperResilience will make reasonable efforts to identify and propose a suitable replacement.
Payments to Resilience Partners are subject to the successful receipt of funds from the Client. HyperResilience does not guarantee payment in the absence of Client payment. We do not mediate disputes or issue refunds.
3. Platform Use and Intellectual Property
3.1 Acceptable Use
You agree not to:

Scrape or harvest data from the platform.

Resell or sublicense access to HyperResilience.

Post false, misleading, or impersonated content.

Misrepresent your identity, qualifications, or intent.

Use the platform to build or support a competing service.

Engage in abusive or harmful communication.
3.2 Platform Content
All intellectual property related to the design, code, branding, workflows, and curation logic of HyperResilience is the sole property of Infoallianz IT Solutions Private Limited. You may not reproduce, repurpose, or commercialize any part of the platform without explicit written permission.
3.3 User Content
Resilience Partners retain ownership of the content they upload (e.g., resumes, portfolios), but by registering on HyperResilience, they grant us the unrestricted right to display, promote, and share such content with Clients for matching purposes. This license remains active while they are registered on the platform.
4. Use of User Content
By submitting or posting content on the platform, users represent and warrant that they have the legal rights and authority to do so and that such content is accurate, lawful, and does not infringe on any third-party rights.
By doing so, users grant HyperResilience a non-exclusive, royalty-free, worldwide, perpetual license to use, store, reproduce, distribute, display, and share such content in connection with the operation, improvement, and promotion of the platform. This includes, but is not limited to, displaying user profiles to potential Clients, using anonymized content for internal analytics, and sharing submissions for the purpose of vetting, shortlisting, or matching.
HyperResilience may edit or remove user content if it violates these Terms, applicable laws, or compromises the integrity of the platform. However, we do not guarantee the accuracy, completeness, or usefulness of any user-generated content and disclaim any liability arising from its use.
5. Partner Vetting, Project Scope & Service Expectations
HyperResilience reserves the right to vet, screen, and assess Resilience Partners prior to shortlisting them for any Client project. Resilience Partners may be required to undergo a structured vetting process, and HyperResilience may establish standards of performance to ensure service quality.
While we strive to present the most suitable professionals or organizations, final decisions and due diligence rest with the Client. Service scopes are defined clearly per engagement, including project terms, expectations, duration, and deliverables, which are agreed upon before engagement.
Once a Resilience Partner accepts a project, they are expected to commit to it fully. Replacements will be provided if a Partner is unable to continue, as per the pre-engagement agreement.
6. Liability, Indemnity & Disclaimers
6.1 Platform Availability
HyperResilience strives to maintain continuous access to the platform but does not guarantee uninterrupted service. Downtime may occur due to maintenance, upgrades, or technical issues.
6.2 Limitation of Liability
To the maximum extent permitted by law, HyperResilience and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, business interruption, or loss of data.
HyperResilience’s total cumulative liability for any claim arising out of or relating to the use of the platform or services shall not exceed the total fees paid by the Client to HyperResilience in the six (6) months preceding the event giving rise to the claim.
6.3 Indemnity
Users agree to defend, indemnify, and hold harmless HyperResilience and its parent company, Infoallianz IT Solutions Private Limited, from and against any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with:

Misuse of the platform or services

Violation of these Terms or applicable laws

Breach of representations or obligations

Any claims from third parties relating to submitted content or conduct on the platform
6.4 Disclaimers
HyperResilience makes no guarantees regarding:

Specific project results or outcomes

Perfect match between Clients and Resilience Partners

Earnings potential or project volume
-
Accuracy, completeness, or reliability of user-generated content or external links
7. Platform Performance and Support
While HyperResilience endeavours to keep the platform secure, responsive, and up-to-date, we do not warrant that it will always function error-free or without interruptions. The platform may be unavailable due to maintenance, updates, technical issues, or events beyond our control (force majeure). No guarantee of 100% uptime is offered, and users agree to accept such downtime risks. Users are encouraged to report bugs or concerns, but HyperResilience is not liable for any consequences resulting from temporary outages or service limitations.
8. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
