Matching & Payment Terms

Effective Date: August 8, 2025


1. Purpose & Scope


These Matching & Payment Terms (“Terms”) govern:

 

  1. The process of matching Clients with Resilience Partners through the HyperResilience platform.

  2. All payment-related activities for projects, services, or engagements arranged through HyperResilience.

HyperResilience is a brand powered by Infoallianz IT Solutions Private Limited (“Infoallianz”), an Indian company registered under the Companies Act, 2013.


By using the HyperResilience platform, both Clients and Resilience Partners agree to comply with these Terms, which form part of, and must be read with, the HyperResilience™ Terms of Service and Website Terms & Conditions.
 
2. Talent Matching

 

  • HyperResilience will introduce or “match” Clients with Resilience Partners for potential engagements.

  • Matches are based on information provided by both parties but do not constitute a guarantee of suitability or project success.

  • HyperResilience may facilitate introductions, interview scheduling, and engagement negotiations but does not act as an employer or partner of the Resilience Partner.

 
3. No Circumvention – 12-Month Rule

 

  • For a period of twelve (12) months from the date of the initial introduction by HyperResilience, the Client agrees not to:

  1. Engage the Resilience Partner directly outside of the HyperResilience platform; or

  2. Make or arrange direct payments to the Resilience Partner bypassing the HyperResilience payment process.

  • Any engagement, whether part-time, full-time, contractual, or otherwise, that results from a HyperResilience introduction must be processed through HyperResilience.

  • Breach of this clause may result in immediate termination of platform access and a payment obligation equal to 25% of the total estimated value of the engagement as liquidated damages.

 
4. Invoicing

 

  • All invoices will be generated and issued by HyperResilience on behalf of the Resilience Partner.

  • Direct invoicing between Client and Resilience Partner outside the platform is prohibited unless expressly approved in writing by HyperResilience.

  • Invoices will include: Client name, Resilience Partner name, project reference, payment amount, due date, and applicable taxes.

 
5. Payment Process & Responsibility

  • All payments for engagements arranged through HyperResilience must be made to HyperResilience via:​

  1. Bank transfer to HyperResilience’s designated account; or

  2. Any other method explicitly offered by HyperResilience.

  • HyperResilience will remit payment to the Resilience Partner after successful receipt and clearance of funds from the Client.

  • HyperResilience is not responsible for delays caused by Client payment processing, banking systems, or compliance checks.

 
6. Payment Timeline & Late Fees

 

  • Unless otherwise agreed in writing, all invoices must be paid within 15 calendar days of issuance.

  • Late payments may incur interest at 1.5% per month (or the maximum rate permitted by Indian law, whichever is lower), calculated on a pro-rata basis from the due date until full payment is received.

 
7. Refunds

 

  • Payments made to HyperResilience for onward payment to Resilience Partners are non-refundable once work has commenced, unless both parties agree in writing to a refund and HyperResilience approves it.

  • Any platform service fees charged by HyperResilience are non-refundable unless expressly stated otherwise.

 
8. Dispute Resolution for Payments

 

  • Clients must notify HyperResilience within 7 days of any payment-related issue.

  • HyperResilience may, at its sole discretion, mediate disputes but is not obliged to resolve matters beyond payment processing obligations.

 
9. Taxes

  • All amounts are exclusive of applicable taxes unless stated otherwise.

  • HyperResilience will collect and remit GST or other taxes as required by law.

  • Each party remains responsible for its own tax obligations, including income tax and any applicable international taxes.

 
10. Currency & Exchange Rates

 

  • India-based transactions will be invoiced and payable in Indian Rupees (INR).

  • International transactions may be invoiced in USD, EUR, or other currencies as determined by HyperResilience.

  • Currency conversions will use the Reserve Bank of India’s rate (or another reputable financial institution’s rate) on the date of invoicing.

 
11. Payment Security & Fraud Disclaimer

 

  • HyperResilience takes reasonable measures to ensure invoice authenticity and payment security.

  • Clients and Resilience Partners must confirm payment details via secure communication channels provided by HyperResilience before initiating transfers.

  • HyperResilience will not be liable for losses caused by fraudulent activity outside the official payment process.

 
12. Limitation of Liability


To the fullest extent permitted by Indian law, HyperResilience and Infoallianz shall not be liable for:

 

  • Any indirect, incidental, special, or consequential damages arising from payment delays, disputes, or failures; and

  • Any amount exceeding the total fees retained by HyperResilience from the specific transaction giving rise to the claim.

 
13. Governing Law & Jurisdiction


These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.
